Switchbl Terms of Service

Effective date: January 23, 2026

1. Agreement to these terms

These Terms of Service (the “Terms”) govern access to and use of the Switchbl website, applications, and related services (collectively, the “Services”). The Services are provided by Switchbl (“Switchbl,” “we,” “us,” or “our”).

By creating an account, accepting an order form, or using the Services, you agree to these Terms. If you use the Services on behalf of a company or other organization, you represent that you have authority to bind that organization, and “you” includes that organization.

2. The Switchbl services

Switchbl provides workflow tools for freight and logistics teams. Depending on your configuration, the Services may connect to an organization-approved shared mailbox, identify shipment-related messages, organize operational signals, and produce work guides or other workflow outputs.

Features, integrations, limits, and availability may vary by plan, order form, and deployment. We may improve, modify, or discontinue parts of the Services, provided we use reasonable efforts to avoid materially reducing the core functionality of an active paid subscription.

3. Accounts and authorized use

4. Customer content and mailbox connections

“Customer Content” means information submitted to or processed through the Services by you or on your behalf, including shipment email, documents, instructions, and configuration data. You retain your rights in Customer Content.

You grant Switchbl a limited, non-exclusive license to host, copy, transmit, and process Customer Content only as needed to provide, secure, support, and improve the Services, or as otherwise directed by you. You are responsible for having the rights and permissions necessary to provide Customer Content and to connect any mailbox or integration.

5. AI-assisted outputs

The Services may use automation or artificial intelligence to classify messages, summarize information, identify exceptions, or suggest next steps. Outputs are provided as operational assistance and may be incomplete, inaccurate, or delayed. You are responsible for reviewing outputs and making final decisions, especially decisions involving cargo release, deadlines, fees, compliance, safety, or communications to third parties.

6. Privacy and security

Our Privacy Policy describes how Switchbl handles personal information. We maintain administrative, technical, and organizational safeguards appropriate to the Services, but no system is completely secure. You are responsible for selecting an appropriate mailbox, configuring permissions, and following your organization’s security policies.

7. Fees and payment

Fees, billing frequency, renewal terms, and plan limits are stated in the applicable order form or checkout flow. Unless otherwise stated, subscriptions renew for the same period until canceled. Fees are non-refundable except where required by law or expressly agreed in writing. You are responsible for applicable taxes other than taxes on Switchbl’s income.

8. Confidentiality

Each party may receive non-public information from the other party. The receiving party will use reasonable care to protect that information and use it only to perform under these Terms. These obligations do not apply to information that is public, independently developed, already known without restriction, or lawfully received from another source.

9. Intellectual property

Switchbl and its licensors retain all rights in the Services, software, documentation, designs, and trademarks. Except for the limited rights expressly granted in these Terms, no rights are transferred to you. We may use suggestions or feedback you provide without restriction or payment.

10. Disclaimers

To the maximum extent permitted by law, the Services are provided “as is” and “as available.” Switchbl disclaims warranties of merchantability, fitness for a particular purpose, non-infringement, uninterrupted availability, and error-free operation. Switchbl does not warrant that the Services or any output will identify every shipment event, deadline, document gap, or operational risk.

11. Limitation of liability

To the maximum extent permitted by law, neither party will be liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, or business opportunity. Switchbl’s total liability arising from the Services will not exceed the fees paid or payable by you for the Services during the twelve months before the event giving rise to the claim.

12. Termination

Either party may terminate a subscription as permitted by the applicable order form. We may suspend or terminate access for material breach, non-payment, security risk, or unlawful use. On termination, your right to use the Services ends; provisions that by their nature should survive will remain in effect. Where reasonably practicable, we will provide a way to export Customer Content for a limited period after termination.

13. General terms

These Terms and the applicable order form are the entire agreement regarding the Services and replace prior understandings about the same subject. You may not assign them without our consent, except in connection with a merger, reorganization, or sale of substantially all assets. Neither party is liable for delay caused by events beyond reasonable control. If any provision is unenforceable, the remaining provisions remain effective.

14. Changes and contact

We may update these Terms from time to time. We will post the updated version and change the effective date; material changes will be communicated through the Services or by email where appropriate. Continued use after the effective date means you accept the updated Terms.
